Kent, Queen Anne's, Talbot, Caroline and Dorchester County Business Licenses: Upper and Mid-Shore

If you are starting a business on Maryland's Upper and Mid-Shore, the paperwork is the same as anywhere else in the state, with one local layer on top. Maryland has no single general state business license. Your entity filing goes to the State Department of Assessments and Taxation (SDAT), your tax registration goes to the Comptroller of Maryland, and most businesses that sell goods also need a trader's license from the Clerk of the Circuit Court in their county.

This guide covers the steps for Kent, Queen Anne's, Talbot, Caroline and Dorchester counties, including the local differences that affect your costs. It is informational content, not legal or tax advice. The figures below are the ones we could verify from official sources as of October 14, 2026. Where a figure is not listed here, confirm it with the agency named before you file or budget.

Statewide Steps Every Business Completes First

Before any county paperwork, most businesses complete three state steps. Each one carries its own fee.

Step 1: Form your entity with SDAT

SDAT's Charter Division handles entity formation through Maryland Business Express at egov.maryland.gov/businessexpress. The verified filing fees are:

  • LLC: $100 filing fee for Articles of Organization.
  • Corporation: $120 filing fee for Articles of Incorporation.
  • Name reservation: $25, held for 30 days.
  • Trade name (DBA): $25 standard, or $75 total with the $50 expedited fee. The trade name is filed with SDAT, not with the county.

Expedited review costs an extra $50 and takes 7 to 14 business days. Online rush service costs an extra $325 and is reviewed within 3 hours when submitted by 2:30 p.m. on a business day. Same-day paper drop box service costs an extra $425. A non-expedited LLC filing is reviewed during the second calendar month after submission, and paper filings take about 8 weeks.

Name rules matter because SDAT will reject a name that is misleadingly similar to one already on file. An LLC name must include one of these: Limited Liability Company, L.L.C., LLC, L.C., or L C. Search existing names at the Business Express entity search before you commit to one.

Your resident agent is Maryland's term for a registered agent. The agent may be a Maryland citizen over 18, a Maryland corporation or a Maryland LLC, and must have a Maryland street address. A P.O. box does not qualify. The agent signs the Articles, and you must have the agent's consent before you file. Changing the resident agent or the agent's address costs $25 per entity.

Step 2: Register for taxes with the Comptroller

Register at the Maryland Business Express tax page through the Combined Registration Application. The sales tax registration is free. It is also required before the Clerk will issue a trader's license, so do it first. The state sales tax rate is 6%.

Tax treatment depends on your entity type. A corporation pays the flat 8.25% corporate income tax on Maryland taxable income. An ordinary LLC has no separate franchise tax, but it is a pass-through entity, so members report income on their Maryland personal returns. That income is taxed at the state rate of 2% to 6.5% plus a county or Baltimore City local rate. The local rate is set by the county and falls between 2.25% and 3.30% for 2026. Confirm with the Comptroller of Maryland how the local rate applies to your owners' residences.

The County Trader's License

Most businesses that sell goods need a trader's license from the Clerk of the Circuit Court in their county. The rules that catch people out are these:

  • License year: May 1 through April 30. You renew for each cycle.
  • Prerequisite: A free Sales and Use Tax License from the Comptroller, obtained through the Combined Registration Application, must be in place first.
  • Blockers: The Clerk cannot issue the license if you owe personal property tax or have missing SDAT filings. Clear those before you apply.
  • Exemptions: Growers and manufacturers are exempt from the trader's license. Confirm whether your Comptroller registration obligations still apply to you.
  • Fee: The trader's license fee is not in our verified facts for these counties. Ask the Clerk's office in your county for the current amount before you budget.

Local Tax Comparison: Five Counties at a Glance

The table below compares the local items that change from county to county. Where we could not verify a figure, the cell says so.

DorchesterCambridge3.30% (highest tier)Confirm with the countyYes, Cambridge

Kent and Dorchester carry the highest local income tax at 3.30%. Talbot is at 2.40%. Kent, Talbot and Queen Anne's have a $0 county business personal property tax rate, which means a $0 county figure on that line. Utility property is still taxed. For Caroline and Dorchester, confirm the personal property tax with the county before you assume anything, because the Clerk will not issue a trader's license to an applicant who owes it.

Kent County MD Business License

Kent County's seat is Chestertown. The county is tied with Dorchester for the highest local income tax, at 3.30%, which matters most to owners who live there and take business income on their personal returns. Because Kent has no county business personal property tax, your annual county-level cost is mainly the trader's license, if you need one. Kent is also one of the counties with an enterprise zone, so ask the county whether your location qualifies before you sign a lease.

Queen Anne's County Business License

Queen Anne's County seats its government in Centreville. The county has a $0 business personal property tax rate, so the main recurring costs are the state annual report and any trader's license. The enterprise zone in Queen Anne's expires on December 14, 2026. If your plan depends on zone benefits, confirm the zone's status and terms with county economic development well before that date. Do not assume the benefits will continue after expiration.

Talbot County Business License and Easton MD Business License

Easton is the Talbot County seat. Talbot's local income tax is 2.40%, and the county has a $0 business personal property tax rate. Easton is also an enterprise zone. Because Easton is an incorporated town, ask the town office whether any town-level registration or zoning approval applies to your business in addition to the county and state steps above.

Caroline County MD Business License

Caroline County's seat is Denton. Caroline has an enterprise zone, so confirm whether your address and business type qualify. Caroline's local income tax falls within the 2026 statewide range of 2.25% to 3.30%, but the exact county rate should be confirmed with the Comptroller. Confirm the county personal property tax with Caroline County as well. If you own taxable equipment, file your business personal property return on time, because an open personal property balance blocks your trader's license.

Dorchester County Business License and Cambridge MD Business License

Dorchester County's seat is Cambridge, which is also the county's enterprise zone. The local income tax in Dorchester is 3.30%, the top rate. Confirm the county personal property tax before you apply for the trader's license. Dorchester's economy includes Eastern Shore agriculture, especially poultry. If you grow or manufacture, you are exempt from the trader's license, but you should still confirm your state registration obligations with the Comptroller.

Enterprise Zones Across the Region

Enterprise zones are listed in Easton, Cambridge, Caroline County and Kent County. Queen Anne's County also has a zone, which expires on December 14, 2026. Zone benefits, eligibility rules and application steps are set locally and are not summarized in the state filing steps above. Ask the county or town economic development office for the zone's current terms and whether your business type, location and hiring plans qualify. Get that answer in writing before you rely on it in a business plan or loan application.

Free Help From the Eastern Shore SBDC

The Maryland Small Business Development Center Network at marylandsbdc.org offers free advising, and its Eastern Shore office is based at Salisbury University. Advisers can help you with the business plan, the cash flow forecast and the financing questions that come up between filing and opening. The U.S. Small Business Administration's Baltimore district office also serves Maryland at sba.gov/district/baltimore.

Annual Requirements After You Open

Corporations and LLCs both file the Annual Report and Business Personal Property Return (Form 1). The fee is $300, and the report is due every April 15. If you need more time, file an extension request at pprextensions.dat.maryland.gov. The personal property return is also where county personal property tax, where it applies, is reported. Missing this filing can block your trader's license renewal, so put April 15 on your calendar on day one.

Your Filing Checklist

  1. Search the Maryland entity database and reserve a name if needed ($25, 30 days).
  2. Choose a resident agent with a Maryland street address and get their written consent.
  3. File Articles of Organization ($100) or Articles of Incorporation ($120) with SDAT.
  4. Register for the Sales and Use Tax License through the Combined Registration Application.
  5. Confirm the county personal property tax position and clear any open balance.
  6. Apply for the trader's license from the Circuit Court Clerk in your county, if you sell goods. Ask for the current fee.
  7. Confirm enterprise zone status with your county or town if you plan to rely on it.
  8. Calendar the $300 annual report and Form 1 for April 15 each year.

When to Bring in a Professional

A simple single-owner business that lives and operates in one county can often complete these steps alone. Talk to a Maryland business attorney before you file if you have multiple owners, need an operating agreement or shareholder agreement, or plan to hold property in the entity. Talk to a CPA if your owners live in different counties, if you have a pass-through structure with local tax questions, or if you need to plan sales tax on taxable goods.
